Terms of Use, Privacy Policy & Consent Notice

This document governs use of the 2C Legal Advisory website, including the Legal Readiness Snapshot tool, in line with the Nigeria Data Protection Act 2023 (NDPA) and applicable NDPC guidance.

Terms of Use

By accessing the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Website.

A.1 Who We Are

2C Legal Advisory is a corporate and commercial law practice offering incorporation, compliance, legal operations, investor readiness, and related advisory services. The Website provides information about our services, enables enquiries and bookings, and provides client facing tools such as intake forms and the Legal Readiness Snapshot. A.2 No Solicitor-Client Relationship From Browsing Alone

Use of the Website, including reading general legal content, does not by itself create a solicitor-client relationship or attorney-client privilege. A client relationship arises only upon a signed engagement letter, retainer agreement, or accepted fee note, and is governed additionally by our Client Engagement & Communication Policy.

A.3 Eligibility & Accounts

  1. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or submit an enquiry.
  2. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your login credentials on the Website, where an account is created. Notify us immediately of any unauthorised use of your account.
  3. We may suspend or terminate accounts that provide false information, breach these Terms, or are used for unlawful purposes.

A.4 Permitted Use

  • Use the Platform only for lawful purposes connected to seeking or receiving our services.
  • Do not attempt to reverse-engineer, scrape, or interfere with the security of the Website.
  • Do not upload content that is unlawful, infringing, or that you do not have the right to share.
  • Do not use the Platform to submit instructions on a matter that constitutes a conflict of interest without disclosing that conflict.

A.5 Intellectual Property

All content on the Platform — including text, the 2CLA name, logo, "Where Strategy Meets Faith" mark, templates, and design — is owned by or licensed to 2CLA and protected by applicable intellectual property law. No licence is granted to reproduce or repurpose this content except for your personal, non-commercial use in engaging our services.

A.6 General Information, Not Legal Advice

Articles, guides, roadmaps, checklists, and similar content made available on the Platform are for general informational purposes only and do not constitute legal advice on your specific circumstances. You should not rely on such content as a substitute for a paid, scoped engagement.

A.7 The Legal Readiness Snapshot (AI-Powered Tool)

  1. The Website includes an AI-powered tool, the "Legal Readiness Snapshot", which asks you for your name and business name, followed by a series of closed form questions covering key areas of legal operations (including, among others, contracts and compliance), answered by selecting one of a fixed set of options (e.g. Yes / No / Not yet / In progress / N/A). No free text or additional detail is requested by the tool.
  2. Based on these selections, 2CLA's own proprietary assessment logic generates a score and a short summary explaining what the score reflects. The tool does not transmit your responses to, or rely on, any third party AI model to generate this output.
  3. The score and summary are a preliminary, automated output generated from closed form answers only. They have not been reviewed by a lawyer at the point they are displayed, do not constitute legal advice, and do not create a solicitor client relationship.
  4. At the end of the assessment, you are offered the option to book a strategy call with a lawyer. The score and summary are designed to inform that call, not to replace it — legal advice that you are entitled to rely on is given only during or following that call, under the terms of your engagement, including our Client Engagement & Communication Policy.
  5. On completion of the assessment, a notification (including the founder's details and result) is sent to 2CLA by email so that a lawyer can follow up, whether or not the founder books a strategy call directly through the Website.
  6. The Legal Readiness Snapshot is an early stage tool and its scope, question set, and scoring logic are expected to evolve as 2CLA continues to develop the underlying technical and legal infrastructure. Any new developments to the Website or the Legal Readiness Snapshot will be duly communicated to users, and this Policy will be updated as the tool's functionality changes.
  7. Because the score is generated from a fixed set of closed form answers rather than a detailed review, it may not capture the full nuance of your legal position and should not be treated as a comprehensive review.

A.8 Fees & Payments

Where the Website allows booking of paid services (e.g. a Legal Health Check, consultation, or retainer sign up), applicable fees, payment channels, and refund terms will be displayed at the point of booking and are additionally governed by the relevant engagement letter or fee note.

A.9 Third Party Links & Services

The Website may link to or integrate third party services (e.g. payment processors, scheduling tools, cloud storage). We are not responsible for the content, policies, or practices of third party services, and your use of them is subject to their own terms.

A.10 Disclaimers & Limitation of Liability

The Website is provided "as is". To the maximum extent permitted by law, 2CLA disclaims liability for indirect or consequential loss arising from use of the Website, and our aggregate liability for any claim arising from the Website (as distinct from a paid engagement, which is governed by its own engagement letter) is limited to the fees, if any, paid to us in connection with the Website in the preceding 6 months.

A.11 Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by an updated "last updated" date and duly communicated to users via the Website or, where appropriate, by email. Continued use after changes take effect constitutes acceptance.

A.12 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes arising from the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, without prejudice to any arbitration clause in a separate engagement letter.

Privacy Policy

How 2C Legal Advisory collects, uses, discloses, and protects personal data through the Website, in line with the Nigeria Data Protection Act 2023.

B.1 Who Is the Data Controller

2C Legal Advisory (BN: 3837943), Yaba, Lagos, Nigeria, is the Data Controller in respect of personal data collected through the Platform. Data protection queries: 2C.legaladvisory@gmail.com.

B.2 Personal Data We Collect

  • Identity & contact data: name, email, phone number, business name, role.
  • Legal Readiness Snapshot data: your name, business name, and closed-form selections (e.g. Yes / No / Not yet / In progress / N/A) across areas of legal operations such as contracts and compliance — no free text is collected by this tool.
  • Enquiry & instruction data: information you submit through contact forms, intake forms, or Website tools, including matter details you choose to share.
  • Account data: login credentials, account activity, preferences, where an account is created.
  • Documents you upload: contracts, corporate documents, ID, or other files submitted for review or onboarding.
  • Payment data: transaction references and billing details (card/account numbers are processed by our payment processor, not stored by us).
  • Technical data: IP address, device/browser type, and usage data collected via cookies or Website analytics (see B.7).

B.3 How We Use Personal Data & Legal Basis

We process personal data only where we have a lawful basis under the NDPA, including:

  • Performance of a contract — to respond to enquiries, deliver engaged legal services, and administer your account.
  • Consent — for marketing communications, non-essential cookies, and any optional data uses; consent can be withdrawn at any time (see Part C).
  • Legal obligation — to meet regulatory, tax, and anti-money-laundering / client-verification obligations.
  • Legitimate interests — to improve the Platform, maintain security, and prevent fraud, balanced against your rights.

B.4 Sharing of Personal Data

We do not sell personal data. We may share personal data with:

  • Service providers who support our operations (e.g. cloud hosting, email, payment processing, scheduling), under confidentiality and data processing terms.
  • Regulators or law enforcement, where legally required.
  • Professional advisers (e.g. co-counsel, panel solicitors) where necessary to deliver your instructed matter, and only as needed.

B.5 Cross Border Data Transfer

Where personal data is transferred outside Nigeria (for example, to a cloud service provider with servers abroad), we will ensure the transfer meets NDPA requirements, including verifying that the recipient jurisdiction has an adequate level of data protection or that appropriate safeguards (such as contractual clauses) are in place.

B.6 Data Retention

We retain personal data for as long as necessary to fulfil the purposes described in this Policy, meet our professional and statutory retention obligations (including client-file retention rules applicable to legal practice), and resolve disputes. Data no longer required is securely deleted or anonymised.

B.7 Cookies & Website Analytics

The Website uses cookies to operate core functions and, where you consent, for analytics and performance measurement. You can manage cookie preferences via your browser settings and, where provided, a privacy settings screen on the Website.

B.8 Data Security

We apply reasonable technical and organisational measures — including access controls, encryption in transit, and confidentiality obligations on staff — to protect personal data against unauthorised access, loss, or misuse. No system is completely secure, and we encourage prompt reporting of any suspected security issue.

B.9 Your Rights Under the NDPA

Subject to applicable exceptions, you have the right to: access your personal data; request correction of inaccurate data; request deletion or restriction of processing; object to certain processing (including direct marketing); withdraw consent at any time where processing is based on consent; and lodge a complaint with the Nigeria Data Protection Commission (NDPC). B.10 Children's Data

The Platform is not directed at children under 18, and we do not knowingly collect personal data from children. If you believe a child has provided personal data to us, contact us so it can be removed.

B.11 The Legal Readiness Snapshot & Automated Processing

The Legal Readiness Snapshot tool collects your name, business name, and a set of closed-form selections (e.g. Yes / No / Not yet / In progress / N/A) across areas of legal operations such as contracts and compliance. No free-text or additional detail is requested. These selections are used to generate an on-screen score and short explanatory summary, using 2CLA's own proprietary logic rather than a third-party AI model.

On completion of the assessment, your name, business name, and result are sent by email to 2CLA so that a lawyer can follow up with you — this occurs whether or not you separately book a strategy call through the Platform.

This automated score and summary do not, by themselves, produce a final legal or similarly significant decision about you. They are a preliminary, indicative output intended to inform a conversation with a lawyer, not to replace one. If you have concerns about how your selections were used to generate your score, or would like it explained further, you may raise this on your strategy call or by contacting 2C.legaladvisory@gmail.com.

B.12 Changes to This Privacy Policy

We may update this Policy periodically. The "last updated" date at the top of this document reflects the most recent revision, and material changes will be duly communicated to users via the Website or, where appropriate, by email.
